Terms of Service

These Terms govern your use of Prosefly, provided by Hsiaoming Ltd. (暁明株式会社), Japan (“we,” “us,” or “our”). By creating an account or using the service, you agree to these Terms. If you use Prosefly for an organization, you must have authority to act for it. If you do not agree, do not use the service.
Accounts and organizations
You must provide accurate account information, have legal capacity to enter into this agreement, and keep your credentials secure. You are responsible for activity you authorize through your account. Notify us promptly if you suspect unauthorized access.
Organization owners and administrators control membership and permissions within their roles. You are responsible for choosing who can edit, publish, manage repositories, or administer billing. An invitation or role may give another person access to your content. Do not share an account to avoid seat limits or give unauthorized people access.
What Prosefly provides
Prosefly provides a workspace for supported Markdown and MDX content, collaborative drafts, repository synchronization, review and publication, and media management. Compatibility depends on your framework, content structure, component support, repository configuration, and plan. Some source syntax may require source editing rather than the visual editor.
Prosefly does not replace your website’s build and hosting setup. Publishing a commit or pull request is separate from deploying your website. You are responsible for reviewing changes and maintaining your repository, deployment workflow, and any additional tools you use.
Your content and permissions
You retain ownership of your content. You grant us the limited permission needed to host, copy, process, transmit, and display it to provide and secure the service, including collaboration, synchronization, media delivery, and publication you authorize. This does not transfer ownership of your content to us.
You must have the rights and permissions needed for content you upload, connect, edit, or publish. You are responsible for its legality, accuracy, privacy notices, and any third-party licenses or consent. We do not acquire a right to publicly market your private content merely because you use Prosefly.
Git publication and hosted media
Saving a draft does not commit to Git. Publishing writes the reviewed changes to your connected repository. A direct commit or pull request can trigger workflows configured in your repository. Review the target repository, branch, files, and changes before publishing.
You control repository visibility and GitHub authorization. Files and history in your repository remain subject to GitHub’s controls. Disconnecting a repository or deleting a Prosefly organization does not delete published Git files or undo website deployments.
Media library files are hosted separately and may be accessible through their delivery URLs. Images managed through a repository’s Public files workflow can be published into Git. You should not upload confidential material to a public delivery URL. Keep backups of content and media you need to preserve, and avoid relying on hosted media links after deleting the associated files or organization.
Plans, trials, and payment
Plan prices, currency, billing interval, allowances, and applicable taxes are shown in the application and checkout. Those purchase details control your order. Paid plans apply to an organization; editing seats and storage or transfer limits are measured according to the selected plan.
Eligible new accounts may receive one calendar-month Personal trial when creating their first organization. The trial does not require a card and does not automatically become a paid subscription. Eligibility and current trial details are shown in the application.
Recurring subscriptions renew at the selected interval until cancelled. Prepaid purchases cover the stated period and do not automatically renew unless checkout expressly says otherwise. You authorize the charges disclosed at checkout. Plan changes, credits, and prorations are governed by the information shown in the billing flow. We will disclose price changes before they apply where required by law.
You can manage cancellation through Organization settings → Billing. Cancellation stops future renewal; it does not by itself request a refund or delete an account. Access continues according to the paid period and applicable billing adjustments. An expired trial or paid entitlement can place the organization in read-only mode. Certain export, reading, and account-management actions remain available, but the service is not a permanent free plan.
Refund eligibility and the request process are described in our Refund Policy. Mandatory consumer rights take priority over these Terms and that policy.
Acceptable use
You must not use Prosefly to violate the law or others’ rights; publish malware or unlawful content; send spam; access another person’s workspace or repository without authorization; bypass permissions, quotas, payment requirements, or security controls; disrupt the service; or test its security without authorization.
Use hosted media as part of the supported content workflow and within your plan’s limits. We may apply reasonable technical controls to prevent abuse and protect availability. We may investigate reports and remove or restrict access to unlawful or harmful material. Where appropriate, we will provide notice and an opportunity to resolve an issue; urgent security or legal situations may require immediate action.
Third-party services
GitHub, your hosting provider, payment services, and other connected tools have their own terms and policies. You are responsible for accounts and permissions you provide to them. Changes, outages, restrictions, or revoked authorization at a third party can affect Prosefly features. We do not guarantee that a third-party service will remain available or compatible.
Service changes and termination
We may improve or change the service and may suspend access for material breaches, nonpayment, legal requirements, or security risks. We will give reasonable notice when practicable. You can stop using the service, cancel subscriptions, and request deletion through the available controls. Organization owners must transfer or delete their organizations before deleting their account; active billing obligations may need to be resolved first.
If we permanently discontinue the service, we will provide reasonable notice and an opportunity to export available content where practicable, and handle prepaid unused service and any refunds according to applicable law and the Refund Policy. Your files already published to Git remain in your repository. We may retain information as described in the Privacy Policy.
Service standards and responsibility
We take reasonable care in providing Prosefly, but uninterrupted availability, compatibility with every content structure, and error-free publication are not guaranteed. Unless separately agreed, we do not provide a service-level agreement. You are responsible for reviewing published changes and keeping appropriate backups.
To the extent permitted by law, we are not liable for indirect or consequential losses such as lost profits or business opportunities. Our total liability arising from the service is limited to the fees you paid us for the affected organization during the twelve months before the event giving rise to the claim. These limits do not apply to fraud, wilful misconduct, gross negligence, or liability that cannot lawfully be excluded or limited. Nothing in these Terms removes mandatory consumer protections or remedies.
Governing law and disputes
These Terms are governed by Japanese law, without depriving you of mandatory protections provided by the laws that apply to you. Please contact us first so we can try to resolve a dispute. Unresolved disputes may be brought before a court with competent jurisdiction in Japan, subject to any mandatory right you have to use a different court or dispute-resolution procedure.
If a provision is unenforceable, the remaining provisions continue to apply. These Terms, your checkout details, and any separately agreed written terms form the agreement for the service. The English, Chinese, and Japanese versions are provided for convenience; if they differ, the English version governs to the extent permitted by applicable law.
Changes and contact
We may update these Terms. The effective date appears above; we will give notice of material changes before they take effect where required. If you disagree with an update, you can stop using the service and cancel renewal before it applies, without affecting any rights you already have.
